Terms and Conditions for website design services and design packages
Just so that we understand our obligations to each other. This is a brief version. A detailed T&C document will be attached to your quote.
- Commencement of work
Web design work starts upon receiving your acceptance of offer or quote, your finalised text content (or website copy), images, graphics and logo as well as the down-payment. - Jade’s obligations
– consult with you regarding your requirements for website functions and design.
– provide drafts for your review.
– set-up hosting if it is required.
– keep you informed of work progress. - Your obligations
– give clear instructions of your requirements.
– provide content in a timely manner.
– respond to request of information and decision promptly.
– inform Jade of any issues that might affect the delivery of the website. - Testing and sign-offs
Two draft concepts will be made for you to choose from. You can have two revisions, each with multiple changes as required, on the chosen draft. The requests must be within the scope of the chosen design and package.The whole web design project must not take longer than 6 months. So yes, please be timely with your content, replies to questions and your decisions.
- Payments
A non-refundable down-payment is due upon acceptance of quote. The balance must be paid before your website goes live. A progress payment might be requested when the project extends beyond 50 days.Invoices are due within 7 days from the date of the invoice.
- Copyrights
All content must be free from copyright issues. - Search Engine Optimisation
The website and its pages will be accessible by search engines. It will be designed with search engine optimisation best practice at the time. There is no guarantee of search engine rankings or that the site will be ranked on a certain position for any specific keywords. You may need to engage an SEO specialist to achieve your desired rankings. - Website Maintenance
After the completion of the website, any additional work such as amendments, adding new pages and content, etc, will be charged on hourly rate. As for the backend maintenance of keeping the system up-to-date and monitored, you can either do it yourself or engage Jade to do it for you on one of her maintenance plans. Keeping the system updated is compulsory if your website is hosted by Jade.If you are maintaining the website yourself, you are responsible for tracking software updates and alerts.
- Access
Jade requires ‘admin’ access to all websites hosted. - Third Party Hosting
You are welcome to choose your own hosting company if you prefer not to be hosted by Jade. Please consult Jade on your chosen company before signing up. If there are any issues such as down time, poor performance, loss of data or bugs caused by changes on the host, you will have to sort those issues out with the hosting company yourself. - Warranty
Jade provides a 30-day warranty against any website bugs or errors. Jade will correct any errors introduced to the site by Jade, including copy errors. Jade does not provide any guarantee or warranty on any third-party software including codes used in open source content management systems, plugins or themes. - Hacked Website
Jade will not be responsible for any security breach or hacking of the website. You will need to cover the costs of repairing and restoring the website as a 3rd party provider may need to be hired to clean or restore the website. Keeping your website maintained and monitored will minimise the chances of your website getting hacked. - Cancellation
Either party may terminate the agreement on 7 working days’ written notice to the other party. If Jade has commenced work for you prior to the cancellation, you will be liable for any hours worked at Jade’s normal hourly rate. Jade may terminate this contract should you go into liquidation or bankruptcy. - Liabilities
Jade will not be liable for any indirect or consequential damages, loss of profits or for any claims made on you by any other party.Jade will not be liable for any loss or damage arising directly or indirectly out of delay in the supply of the deliverables or failure to perform its obligations under this agreement where the delay is caused directly or indirectly by an act of God, armed conflict, labour dispute, civil commotion, intervention of a government, materials or manufacturing facilities, accidents, interruptions of or delay in, transportation or any other causes beyond their control, interruptions to the hosting service, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, you or your site visitor’s computer or Internet software.
